Target Requirement
It is a US based company with a data-driven business transformation practice. It aims to expand through acquisitions of IT services companies and have set specific criteria:
- It seeks IT services businesses with at least 3 years of experience, located in the USA or India preferably primarily generating revenue from the USA.
- Target companies should have annual revenues between $3M and $10M with at least 10% operating margins. Prefer longer-term contracts, and mainly work directly with clients.
- We value executive teams with strong customer relationships and a willingness to facilitate a smooth ownership transition. Seller's senior management may have potential leadership roles.
- Operations: Desired traits include compliance with industry standards, effective operating
frameworks, referenceable clients, and consistent performance in meeting customer targets and contractual obligations.
Deal Structure: The Company proposes a deal structure with less than 50% upfront cash, with the
balance spread over a year and the remainder in company stock.
